SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL CONSEQUENTIAL, OR OTHER DAMAGES; AS A RESULT, THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT BE APPLICABLE TO YOU, AND THE FOREGOING PARAGRAPH SHALL NOT APPLY TO A RESIDENT OF NEW JERSEY TO THE EXTENT DAMAGES TO SUCH NEW JERSEY RESIDENT ARE THE RESULT OF OUR NEGLIGENT, FRAUDULENT OR RECKLESS ACT(S) OR INTENTIONAL MISCONDUCT.

YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS WALGREENS, INCLUDING ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSORS, SUPPLIERS, INFORMATION PROVIDERS AND AGENTS, FROM AND AGAINST ALL LOSSES, EXPENSES, DAMAGES, FEES, FINES, AND COSTS, INCLUDING WITHOUT LIMITATION, REASONABLE ATTORNEYS' FEES, RESULTING FROM OR RELATING TO YOUR USE OF THE SERVICES OR VIOLATIONS OF THESE TERMS.

Walgreens Health Services LLC provides administrative and management services to independent, physician-owned and operated, medical practices. Walgreens Health Services LLC licenses the “Walgreens” brand name to Walgreens Health Medical Group, P.A. and other affiliated medical practices that use Walgreens Health Services LLC’s business support services. Each Walgreens-branded medical practice is owned and operated by a licensed physician. Each Walgreens-branded medical practice engages a network of United States based clinicians who provide clinical telehealth services. The clinicians deliver clinical services via the Walgreens virtual care program telehealth platform to their patients. Walgreens Health Services LLC does not own or operate the medical practices nor employ or in any way supervise the medical practices’ clinicians. Control over the care provided by the medical practices and their clinicians is the sole responsibility of the independent medical practices and the clinicians they employ. Services and practices may vary across clinicians, and patients should contact the clinicians at Walgreens Health Medical Group, P.A. directly for all questions concerning their medical care.

We provide the Site and its services on an "as is" and "as available" basis, without any warranty of any kind, either express or implied. While we strive for accuracy, we cannot guarantee that the Site or its services will always be available, uninterrupted, secure, or error-free. You agree that your use of the Site is at your sole risk. E-Clips USA, its affiliates, and their respective officers, directors, employees, agents, suppliers, or licensors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages resulting from your access to or use of, or inability to access or use, the Site or its services. You agree to defend, indemnify, and hold harmless E-Clips USA, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, your User Contributions, any use of the Site's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Site.

Informal Negotiation: To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms ("Dispute"), you and E-Clips USA agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one person to the other.

Binding Arbitration: If you and E-Clips USA are unable to resolve a Dispute through informal negotiations, either you or E-Clips USA may elect to have the Dispute (except those Disputes expressly excluded below) finally and exclusively resolved by binding arbitration. Any election to arbitrate by one party shall be final and binding on the other. YOU UNDERSTAND THAT ABSENT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be conducted by a single, neutral arbitrator and administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at the AAA website www.adr.org. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA's Consumer Arbitration Rules and, where appropriate, limited by the AAA's Consumer Arbitration Rules.

Exceptions to Arbitration: The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of your or E-Clips USA's intellectual property rights; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

These Terms, along with any additional terms or policies we may provide, constitute the entire agreement between you and E-Clips USA. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision only will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control.
